Terms and Conditions SourceParts.eu

Version: September 2026. These terms and conditions apply to the webshop shop.sourceparts.eu.

These terms and conditions are drafted in Dutch. This English translation is provided to inform the customer. Where the English text differs in interpretation from the Dutch text, the Dutch text prevails, see article 19.

1. Definitions

1.1 Trader: the sole proprietorship (eenmanszaak) Aldewereld Consultancy, registered with the Dutch Chamber of Commerce (Kamer van Koophandel) under number 61862533, VAT identification number NL002168402B79, trading under the trade name SourceParts.eu, through the webshop shop.sourceparts.eu.

1.2 Customer: any natural person or legal entity that enters into an agreement with the trader or to whom the trader makes an offer.

1.3 Consumer: a customer who is a natural person and who is not acting in the course of a profession or business.

1.4 Business customer: a customer who is acting in the course of a profession or business, including sole proprietorships, companies and legal entities purchasing for their business.

1.5 Agreement: the agreement between trader and customer regarding the delivery of products and, if applicable, installation services.

1.6 Products: networking equipment, including FTTR fibre Wi-Fi sets, GPON routers, switches, access points and mesh and edge equipment, offered through the webshop.

1.7 Withdrawal period: the period during which the consumer can exercise the right of withdrawal.

2. Identity of the trader

Aldewereld Consultancy, trading under the trade name SourceParts.eu
Postal address: Nieuwe Hemweg 26, 1013CX Amsterdam, the Netherlands
Chamber of Commerce (KvK) number: 61862533
VAT identification number: NL002168402B79
E-mail: legal@sourceparts.eu

SourceParts.eu is a trade name only. The trader is a Dutch sole proprietorship, not a private limited company.

3. Applicability

3.1 These terms and conditions apply to every offer made by the trader and to every agreement concluded between trader and customer through the webshop shop.sourceparts.eu.

3.2 Before the agreement is concluded, the text of these terms and conditions is made available to the customer in such a way that it can be stored by the customer on a durable medium.

3.3 Provisions deviating from these terms and conditions are only valid if agreed in writing.

3.4 If 1 or more provisions in these terms and conditions are or become void, the remainder of these terms and conditions remains fully applicable.

4. Offer and prices

4.1 Every offer contains information that makes clear to the customer what rights and obligations are attached to acceptance of the offer.

4.2 Obvious mistakes or obvious errors in the offer, such as evident inaccuracies in price or specification, do not bind the trader.

4.3 All prices shown to consumers include VAT and any other charges imposed by government authorities.

4.4 All prices shown to business customers exclude VAT, unless explicitly stated otherwise. VAT is charged separately in accordance with the applicable rates and, where applicable, the rules for intra-community supply, see article 16.

4.5 For some products, the "price on request" model applies. For these products, no fixed sales price is shown and the customer can request a quote. Such a quote does not constitute an offer within the meaning of article 5, but an invitation for the customer to make an offer. In that case, the agreement is only formed once the trader has explicitly confirmed the quote and the corresponding price.

4.6 Shipping costs are not included in the product price and are shown separately before the order is completed.

5. Formation of the agreement

5.1 The agreement is formed at the moment the customer accepts the offer and satisfies the conditions attached to it, usually by completing the order and payment in the webshop. For products under the "price on request" model, article 4.5 applies.

5.2 The trader confirms receipt of the acceptance of the offer without delay by electronic means.

5.3 Within legal limits, the trader may satisfy itself as to whether the customer can meet its payment obligations, and as to all facts and factors relevant to a responsible entering into of the agreement. If, based on this investigation, the trader has good grounds not to enter into the agreement, the trader is entitled to refuse an order or request, or to attach special conditions to its execution.

6. Payment

6.1 Payment is made using the payment methods offered in the webshop, processed through an external payment service provider.

6.2 Business customers may, after consultation with the trader, be eligible for payment on invoice, which may involve a prepayment. This is agreed on a case-by-case basis.

6.3 The customer has a duty to promptly report inaccuracies in payment details provided or stated to the trader.

6.4 If the customer does not fulfil its payment obligation in time, the customer owes statutory interest on the outstanding amount after being notified by the trader of the late payment and after the trader has granted the customer a period of 14 days to still fulfil the payment obligation, and payment has not been made within that period of 14 days. This paragraph does not apply in full to business customers, for whom different, stricter collection terms may apply by law.

7. Delivery and delivery time

7.1 The trader aims for a delivery time of approximately 2 working days after receipt of payment. This period is indicative, not a strict deadline and not a guarantee.

7.2 The place of delivery is the address that the customer has made known to the trader.

7.3 If delivery of an ordered product proves impossible, the trader will make reasonable efforts to make a replacement item available or to inform the customer as soon as possible, with the option to dissolve the agreement free of charge.

7.4 The risk of damage or loss of products passes to the consumer at the moment of delivery to the consumer, unless explicitly agreed otherwise. For business customers, risk may pass earlier, for example upon handover to the carrier, if explicitly agreed.

7.5 Exceeding the indicative delivery period referred to in article 7.1 does not entitle the customer to compensation, unless explicitly agreed otherwise.

8. Retention of title

8.1 All products delivered by the trader remain the property of the trader until the customer has fully satisfied all obligations under the agreement, including the full purchase price, any shipping costs and any interest and costs.

8.2 As long as ownership of a product has not passed to the customer, the customer may not pledge, resell outside the normal course of business, or otherwise encumber the product, unless agreed otherwise in writing with the trader.

9. Installation service

9.1 In addition to the delivery of products, the trader may offer an installation service, exclusively within the Netherlands.

9.2 Additional arrangements apply to the installation service regarding date, time, access to the location and any additional costs, which are confirmed to the customer separately.

9.3 The customer must ensure a safe and accessible working environment at the agreed installation location.

10. Right of withdrawal for consumers

10.1 This article 10 and articles 11 and 12 apply exclusively to consumers. Business customers have no statutory right of withdrawal, see article 16.

10.2 The consumer may dissolve an agreement relating to the purchase of a product during a withdrawal period of 14 days without giving any reason.

10.3 The withdrawal period starts on the day after receipt of the product by the consumer, or by a third party designated in advance by the consumer who is not the carrier.

10.4 For an agreement relating to several products with different delivery times, the withdrawal period starts on the day on which the consumer received the last product.

10.5 During the withdrawal period, the consumer will handle the product and its packaging with care. The consumer will only unpack or use the product to the extent necessary to establish the nature, characteristics and functioning of the product. The starting point is that the consumer may only handle and inspect the product as would be allowed in a physical shop.

10.6 The consumer is liable for any diminished value of the product resulting from handling the product beyond what is permitted under article 10.5.

10.7 If the consumer wishes to exercise the right of withdrawal, the consumer must report this within the withdrawal period using the model withdrawal form in article 13, or by another unambiguous statement, to the trader via legal@sourceparts.eu.

10.8 As soon as possible, but within 14 days from the day following the notification referred to in article 10.7, the consumer must return the product, or hand it over to the trader or an authorised representative. This is not necessary if the trader has offered to collect the product. The consumer has, in any case, observed the return period if the product is returned before the withdrawal period has expired.

11. Costs and consequences of withdrawal

11.1 If the consumer exercises the right of withdrawal, the costs of returning the product are borne by the consumer, unless the trader has failed to state that the consumer must bear these costs.

11.2 If the consumer exercises the right of withdrawal, all payments made by the consumer up to that point, including any standard delivery costs, are refunded without delay and in any case within 14 days from the day on which the trader was informed of the withdrawal.

11.3 The trader may withhold reimbursement until the trader has received the product back, or until the consumer has demonstrated that the product has been returned, whichever occurs first.

11.4 Reimbursement is made using the same means of payment used by the consumer, unless the consumer agrees to a different method. No costs are charged to the consumer for the reimbursement.

12. Exclusion of the right of withdrawal

12.1 The trader may exclude the consumer's right of withdrawal for products as described in article 12.2, provided that the trader has clearly stated this in the offer, or in good time before the agreement is concluded.

12.2 Exclusion of the right of withdrawal is possible, among other things, for:

  • Products manufactured by the trader according to the consumer's specifications, for example custom configurations.
  • Sealed products which are not suitable for return for reasons of health protection or hygiene and whose seal has been broken after delivery.
  • Products which, after delivery, are by their nature inseparably mixed with other products.
  • Digital content not supplied on a tangible medium, if performance has begun with the consumer's prior express consent and the consumer has acknowledged that this results in the loss of the right of withdrawal.
  • The installation service, insofar as its performance has, with the consumer's consent, been fully completed within the withdrawal period and the consumer has acknowledged the resulting loss of the right of withdrawal.

12.3 This list is not exhaustive. The full statutory exceptions to the right of withdrawal are set out in article 6:230p of the Dutch Civil Code (Burgerlijk Wetboek). The trader uses this article as the starting point when determining any exceptions.

13. Model withdrawal form

To: Aldewereld Consultancy, trading under the trade name SourceParts.eu, Nieuwe Hemweg 26, 1013CX Amsterdam, the Netherlands, e-mail: legal@sourceparts.eu

I/We hereby give notice that I/we withdraw from our agreement relating to the sale of the following product:

  • Ordered on / received on:
  • Name of consumer:
  • Address of consumer:
  • Signature (only if this form is submitted on paper):
  • Date:

14. Conformity and warranty

14.1 The trader warrants that the products conform to the agreement, the specifications stated in the offer, the reasonable requirements of soundness and usability, and the statutory provisions in force on the date the agreement was formed.

14.2 For consumers, the statutory conformity rules of the Dutch Civil Code apply. This means that a product must, for its reasonably expected lifespan, meet what the consumer may reasonably expect, even if the manufacturer or distributor applies a shorter manufacturer's warranty period. Any manufacturer's warranty offered by the manufacturer or distributor does not affect and does not limit these statutory rights of the consumer.

14.3 For business customers, unless agreed otherwise in writing, a contractual warranty period applies equal to the manufacturer's warranty period of the manufacturer or distributor applicable to the relevant product. This contractual limitation does not apply to consumers.

14.4 The warranty lapses if a defect has arisen from improper use, from modifications made by the customer or third parties, or from use contrary to the instructions supplied with the product.

14.5 A customer invoking warranty or conformity should contact the trader via legal@sourceparts.eu.

15. Liability

15.1 The trader's liability for damage arising from the agreement is, to the extent permitted by law, limited to the amount paid by the customer for the relevant order.

15.2 The trader is not liable for indirect damage, including consequential damage, loss of profit, missed savings or damage due to business interruption, except in the case of intent or wilful recklessness by the trader.

15.3 To the extent that mandatory consumer law prescribes different or broader liability of the trader, that mandatory law prevails over the limitations in this article. The limitations in this article apply in full to business customers.

15.4 Nothing in this article limits the trader's liability for damage resulting from intent or wilful recklessness, or to the extent liability cannot be limited or excluded by law.

16. Business customers: deviations and VAT reverse charge

16.1 In addition to the other provisions in these terms and conditions, the deviations in this article 16 apply to business customers.

16.2 Business customers have no statutory right of withdrawal. Articles 10, 11 and 12 do not apply to business customers, unless explicitly agreed otherwise in writing.

16.3 For deliveries to a business customer established in an EU member state other than the Netherlands, who provides a valid VAT identification number at the time of order, the delivery is treated as an intra-community supply with VAT reverse charged to the customer, provided the VAT identification number provided has been positively validated through VIES, the EU system for verifying VAT identification numbers. In that case, the invoice states 0 percent VAT and states that VAT has been reverse charged to the customer.

16.4 The VAT reverse charge described in article 16.3 does not apply to deliveries within the Netherlands, regardless of whether the customer is a consumer or a business customer, and does not apply to deliveries outside the European Union. If the VAT identification number provided cannot be positively validated through VIES, or is missing, the trader charges standard VAT.

16.5 For deliveries outside the European Union, import duties, import VAT and other charges of the country of destination may apply. These are borne by the business customer, unless agreed otherwise in writing.

17. Complaints and disputes

17.1 Complaints about the performance of the agreement can be submitted via legal@sourceparts.eu. The trader aims to respond to complaints within 14 days.

17.2 For consumers within the European Union, disputes can also be submitted through the European Commission's ODR platform.

18. Applicable law and competent court

18.1 Agreements between the trader and the customer to which these terms and conditions relate are governed exclusively by Dutch law, even if the customer is resident or established abroad.

18.2 Unless mandatory law prescribes otherwise, disputes between trader and customer are submitted to the competent Dutch court. For consumers, the right to submit a dispute to the court that has jurisdiction by law remains fully applicable.

19. Final provisions

19.1 The trader may amend these terms and conditions. Amended terms apply to new agreements from the moment of publication.

19.2 These terms and conditions are drafted in Dutch. The English translation is provided to inform the customer. Where the Dutch and English texts differ in interpretation, the Dutch text prevails.
